Welcome to Alpha Web Dev. These Terms of Service ("Terms") govern your use of our website and services. By accessing or using our services, you agree to be bound by these Terms.

Please read these Terms carefully before using our services. If you do not agree with these Terms, you must not use our website or services.

1. Acceptance of Terms

By accessing and using Alpha Web Dev's website (alphawebdev.ae) and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. These Terms constitute a legally binding agreement between you and Alpha Web Dev.

If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind such entity to these Terms.

2. Services Description

Alpha Web Dev provides web development, mobile app development, UI/UX design, e-commerce solutions, and related digital services ("Services"). Our Services include but are not limited to:

• Custom web development and design
• E-commerce platform development
• Mobile application development (iOS and Android)
• UI/UX design and prototyping
• Content Management System (CMS) development
• API development and integration
• Website maintenance and support
• SEO and digital marketing services
• Consulting and technical advisory services

Specific services and deliverables will be outlined in individual project agreements or statements of work.

3. Service Agreement and Project Engagement

When you engage our services, we will provide a detailed proposal or statement of work that includes:

• Project scope and deliverables
• Timeline and milestones
• Pricing and payment terms
• Roles and responsibilities
• Acceptance criteria

The project officially commences upon your acceptance of the proposal and receipt of the initial payment (if applicable).

4. Pricing and Payment Terms

4.1 Pricing

All prices are quoted in UAE Dirhams (AED) unless otherwise specified. Prices are valid for 30 days from the quote date unless stated otherwise. We reserve the right to modify our pricing at any time.

4.2 Payment Schedule

Unless otherwise agreed, our standard payment terms are:

• 50% deposit - Due upon project commencement
• 25% milestone payment - Due upon completion of design/development phase
• 25% final payment - Due upon project completion and before final delivery

For monthly retainer or subscription services, payment is due at the beginning of each billing cycle.

4.3 Payment Methods

We accept payment via bank transfer, credit/debit cards, and other agreed-upon methods. All bank charges and transaction fees are the responsibility of the client.

4.4 Late Payments

Invoices are due within 7 days of issuance unless otherwise specified. Late payments may incur a fee of 2% per month. We reserve the right to suspend services for accounts with overdue payments.

4.5 Refund Policy

Deposits and milestone payments are non-refundable once work has commenced. In the event of project cancellation, you will be charged for work completed up to the cancellation date.

5. Client Responsibilities

To ensure successful project delivery, clients agree to:

• Provide timely feedback and approvals as outlined in project timeline
• Supply all necessary content, images, and materials in required formats
• Provide access to necessary systems, accounts, and technical resources
• Designate a primary point of contact with decision-making authority
• Review and test deliverables within agreed timeframes
• Comply with all applicable laws and regulations
• Maintain confidentiality of any proprietary information shared

Delays caused by client failure to fulfill these responsibilities may result in project timeline extensions and potential additional costs.

6. Intellectual Property Rights

6.1 Client-Provided Materials

You retain all rights to content, images, logos, and materials you provide. You grant us a license to use these materials for the duration of the project and for portfolio/promotional purposes (unless otherwise agreed).

6.2 Alpha Web Dev Deliverables

Upon full payment, we transfer ownership of custom-developed code, designs, and deliverables created specifically for your project. However, we retain rights to:

• Reusable code libraries and frameworks
• Development tools and methodologies
• General knowledge and techniques

6.3 Third-Party Components

Projects may include third-party software, plugins, or libraries subject to their own licenses. You are responsible for complying with these licenses.

6.4 Portfolio Rights

We reserve the right to showcase completed projects in our portfolio and marketing materials unless a non-disclosure agreement prohibits such use.

7. Warranties and Guarantees

7.1 Our Warranties

We warrant that:

• Services will be performed with professional skill and care
• Deliverables will substantially conform to agreed specifications
• We have the right to provide the services
• Work will be free from defects in workmanship for 30 days after delivery

7.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• Services will be uninterrupted or error-free
• Results will meet your specific business objectives
• Third-party services will remain compatible or available
• Your website will achieve specific search engine rankings

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHA WEB DEV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific services giving rise to the claim, or AED 10,000, whichever is less.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless Alpha Web Dev, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services
• Your breach of these Terms
• Content or materials you provide
• Your violation of any laws or third-party rights
• Unauthorized use of deliverables

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information disclosed during the project. Confidential information includes business plans, technical data, customer lists, and any information marked as confidential.

This obligation does not apply to information that: (a) is publicly available, (b) was known prior to disclosure, (c) is independently developed, or (d) must be disclosed by law.

For projects requiring additional confidentiality protection, we offer separate Non-Disclosure Agreements (NDAs).

11. Termination

11.1 Termination by Client

You may terminate the project at any time with written notice. You will be charged for all work completed plus a termination fee of 25% of remaining project value.

11.2 Termination by Alpha Web Dev

We may terminate the agreement with 14 days written notice if:

• You breach these Terms or project agreement
• Payments are more than 30 days overdue
• You fail to provide necessary cooperation or materials
• Continuing the project becomes commercially unreasonable

11.3 Effect of Termination

Upon termination, you must pay for all work completed. We will provide work-in-progress deliverables only after receipt of final payment. All license rights to incomplete work remain with Alpha Web Dev.

12. Support and Maintenance

Unless otherwise agreed, our services include:

• Bug fixes: 30 days of free bug fixes for defects in delivered work
• Technical support: Email support for 30 days after project delivery

Ongoing maintenance, hosting, updates, and feature enhancements are available through separate maintenance agreements at our standard rates.

13. Force Majeure

Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, fire, floods, accidents, strikes, or internet service failures.

14. Dispute Resolution

In the event of any dispute arising from these Terms or our services:

• Parties agree to first attempt resolution through good-faith negotiation
• If negotiation fails, disputes may be submitted to mediation
• If mediation fails, disputes shall be resolved through arbitration in Dubai, UAE

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai. Any legal action or proceeding relating to these Terms shall be brought exclusively in the courts of Dubai, UAE, and both parties consent to the jurisdiction of such courts.

16. General Provisions

16.1 Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between the parties and supersede all prior agreements and understandings.

16.2 Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services constitutes acceptance of modified Terms.

16.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to any successor or affiliate.

16.5 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision of these Terms.

All notices must be in writing and sent to the addresses provided in the project agreement or to info@alphawebdev.ae for Alpha Web Dev.
